Terms & Conditions

You must be at least 18 years old and able to form a binding contract to use LinkUpX. When you register, you agree to provide accurate, current, and complete information and to keep it up to date. You may register directly or via a third-party identity provider (Google, LinkedIn, or GitHub); doing so authorizes us to receive the profile information that provider shares with us under your privacy settings with that provider.

You are responsible for all activity that occurs under your account and for safeguarding your credentials, including any multi-factor authentication method you enable. Notify us immediately at info@linkupx.in if you suspect unauthorized access. One person or entity may not maintain more than one account except where we expressly allow organization-level (Team) accounts.

LinkUpX gives members tools to find and evaluate opportunities and people, including profile discovery and matching, direct messaging, video meetings, communities, events, a services marketplace, a deal room for structured fundraising workflows, and an AI Advisor that surfaces recommendations and answers questions grounded in platform data and information you provide.

We may add, change, suspend, or discontinue any part of the Service, including specific features or subscription tiers, at any time. We will provide reasonable advance notice of material changes that significantly reduce paid functionality you are actively subscribed to.

Certain features (for example, expanded AI usage, additional team seats, or priority discovery) require a paid subscription. Prices, billing cycles, and included usage are described at checkout and in your Settings → Plan & Billing page. Payments are processed by our third-party payment processor (Razorpay); by subscribing you also agree to that processor’s applicable terms.

Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Fees are billed in advance and, except where required by law or expressly stated otherwise, are non-refundable. Downgrading or cancelling takes effect at the end of the current billing period; usage caps for the free tier reset on the schedule shown in your account.

We may change subscription pricing on a going-forward basis with at least 30 days’ notice before the change applies to your next renewal.

“Your Content” means profile information, startup and pitch materials, messages, posts, documents you upload to the Deal Room or Marketplace, and anything else you submit to the Service. You retain all ownership rights in Your Content.

You grant LinkUpX a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit Your Content solely as necessary to operate, secure, and improve the Service — for example, showing your profile to other members, generating AI recommendations grounded in your data, or sharing a document with a party you explicitly grant access to. This license ends when you delete the content or your account, except for copies retained where required for legal, security, or backup purposes for a limited period.

You are solely responsible for Your Content and must have the rights necessary to share it, including any confidential business, financial, or personal information you choose to disclose to other members.

You agree not to, and not to permit others to:

• Impersonate a person or entity, or misrepresent your identity, credentials, traction, or funding status;
• Post fraudulent, deceptive, or misleading investment, hiring, or partnership opportunities;
• Scrape, crawl, or bulk-export member data, or use the Service to build a competing product or dataset;
• Send unsolicited bulk messages, spam, or engage in harassment, discrimination, or threatening conduct;
• Upload malware, attempt to breach security controls, or interfere with the Service’s normal operation;
• Use the AI Advisor to generate unlawful, infringing, or deceptive content, or to attempt to extract other members’ personal data; or
• Violate applicable securities, anti-fraud, employment, or export control laws in any connection, transaction, or solicitation made through the Service.

Violations may result in content removal, feature restrictions, suspension, or termination as described in Suspension & termination, in addition to any legal remedies available to us.

The AI Advisor and related AI-assisted tools (recommendations, drafting, summaries, and analysis) use machine-generated output based on the information available to it, including your profile and platform data. AI output may be incomplete, inaccurate, or unsuitable for your specific circumstances, and does not constitute financial, legal, tax, or investment advice.

You are responsible for independently verifying any AI-generated content before relying on it, sharing it, or acting on it, including in connection with any fundraising, hiring, or investment decision.

LinkUpX is a discovery and communication platform. We help members find and connect with one another, but we do not vet, endorse, guarantee, or take responsibility for the accuracy of any member’s profile, the outcome of any introduction, or the terms of any investment, employment, mentorship, or commercial arrangement formed through the Service.

LinkUpX is not a broker-dealer, investment adviser, or placement agent, and nothing on the Service is an offer or solicitation to buy or sell securities. You are solely responsible for conducting your own due diligence and, where appropriate, seeking independent legal, financial, and tax advice before entering into any transaction with another member.

The Service, including its software, design, branding, and underlying technology, is owned by LinkUpX and our licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to use the Service, no rights are transferred to you. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by applicable law.

You may stop using the Service and close your account at any time from Settings → Account. We may suspend or terminate your access, with or without notice, if you materially breach these Terms, create risk or legal exposure for us or other members, or if required by law.

On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY CONTENT, RECOMMENDATION, OR OUTCOME OBTAINED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKUPX AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) 100 USD.

You agree to indemnify and hold harmless LinkUpX and its officers, employees, and service providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will first be addressed through good-faith negotiation; if unresolved within 30 days, it will be submitted to the exclusive jurisdiction of the courts located in India, except where applicable law provides you a non-waivable right to a different forum.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-product notice at least 14 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
